Welcome to Altura Code, LLC (“Altura Code,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our websites, products, and services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms.

If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

1. Eligibility and Accounts

You must be at least 18 years old to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

2. Subscriptions, Billing, and Payments

Certain Services may be offered on a subscription basis. Prices, billing cycles, and plan details are provided at the time of purchase.

Payments are processed by Stripe. We do not store your full payment card information. By providing a payment method, you authorize us (through Stripe) to charge applicable fees and taxes.

3. Free Trials and Promotions

If we offer a free trial or promotional pricing, the terms of that offer will be presented at sign-up. Unless stated otherwise, your subscription will convert to a paid plan at the end of the trial period.

4. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law or regulation.
• Infringe the rights of others, including intellectual property rights.
• Transmit malware or attempt to disrupt the Services.
• Access or attempt to access accounts or data without authorization.

We may suspend or terminate your access if we reasonably believe you have violated these Terms.

5. Intellectual Property

The Services, including all software, designs, and content provided by Altura Code, are owned by Altura Code or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from our Services without our prior written consent.

6. Customer Content

You retain ownership of the content you submit to the Services (“Customer Content”). You grant Altura Code a limited, non-exclusive, worldwide license to host, process, and display Customer Content solely for the purpose of providing and improving the Services.

You represent and warrant that you have all rights necessary to provide Customer Content and that your content does not violate these Terms.

7. Third-Party Services

Our Services rely on third-party services, including DigitalOcean for infrastructure, Stripe for payments, and Fathom Analytics for analytics. Your use of those services may be subject to their own terms and policies.

8. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALTURA CODE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO ALTURA CODE IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Altura Code, its affiliates, officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services or violation of these Terms.

11. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services if you violate these Terms or if required to comply with law.

12. Changes to the Services or Terms

We may modify the Services or these Terms from time to time. If changes are material, we will provide reasonable notice by posting updated Terms. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of Puerto Rico, without regard to conflict of laws principles.
